Educator Content License Agreement

This Educator Content License Agreement (the "Agreement") governs the relationship between Global Ink Alliance Ltd ("GIA") and a tattoo professional (the "Educator", "you") who participates in GIA's educational platform (learn.getgia.app).
This Agreement comes in two forms:
- Form A — Promotional Bartered Licence (GIA produces and owns the master class; the Educator receives platform exposure in exchange)
- Form B — Revenue-Share Production Licence (the Educator commissions GIA to produce the master class; the Educator earns a 90% share of net revenue)
The Educator chooses which form applies at the time of recording. A separate signed Agreement is required for each master class.
A Beneficiary Designation Form appears at the end of this document. It is required for both Form A and Form B.
SHARED CLAUSES — APPLY TO BOTH FORMS
1. Definitions
- "Master Class" — the audio-visual recording, supporting written materials, slides, voiceover, subtitles, and any associated metadata produced under this Agreement.
- "Educator Materials" — any pre-existing artwork, drawings, photographs, music, brand assets, or other materials supplied by the Educator for use in the Master Class.
- "GIA Platform" — the GIA mobile app, the websites
getgia.app,globalinkalliance.com,learn.getgia.app, and any successor platforms operated by GIA. - "Net Revenue" — total amounts received by GIA from end-user purchases of the Master Class, after deducting: (a) payment-processor fees (Apple, Google, Stripe), (b) refunds and chargebacks, (c) applicable taxes (VAT, sales tax) where collected from buyers and remitted to authorities.
2. Educator Status
The Educator is engaged as an independent contractor. Nothing in this Agreement creates an employment, partnership, joint-venture, or agency relationship. The Educator is solely responsible for their own taxes, social-security contributions, and any business registration obligations in their country of residence.
3. Educator Warranties
By signing this Agreement, the Educator warrants that:
- They are at least 18 years old and have legal capacity to enter into the Agreement.
- They have all necessary rights, consents, and permissions to grant the licences below — including from any models or clients depicted, any music providers, and any third-party content used.
- The Master Class does not infringe any third party's copyright, trademark, privacy, or personality rights.
- They have disclosed any pre-existing exclusive licensing commitments that could conflict with this Agreement (e.g. existing exclusive contracts with Udemy, Skillshare, Domestika, or other platforms).
- The information they provide about their professional experience is truthful.
4. Quality and Editorial Control
GIA may edit, format, subtitle, translate, or repackage the Master Class for distribution. GIA may also:
- Decline to publish a Master Class that fails our quality standards
- Withdraw a Master Class from distribution at any time, with notice to the Educator
- Suggest improvements to the Educator before publication
If GIA declines a Master Class, the Educator may commission additional production work under Form B to bring it up to standard.
5. AI Disclosure and Generative Tools
If the Educator uses AI-generated images, voice synthesis, or other generative tools in producing the Master Class, the Educator must disclose this use. GIA will label AI-generated elements where required by the EU AI Act.
6. People Depicted
If the Master Class shows other people (clients, models, guest artists), the Educator confirms they have obtained written consent from each person for commercial use. GIA may request copies of these consents at any time.
7. Beneficiary
The Educator completes the Beneficiary Designation Form at the end of this Agreement. In the event of the Educator's death or permanent incapacity:
- Earnings (royalties, if Form B) accrue to the named Beneficiary instead of the Educator
- The Master Class remains GIA's property; the Beneficiary cannot withdraw, edit, or relicense it
- If GIA receives no contact from the Beneficiary or their representative for twelve (12) consecutive months following notification of the Educator's death, the right to receive future earnings lapses and ownership of any accrued unpaid earnings reverts to GIA
- The Beneficiary, like the Educator, is responsible for declaring received earnings to their tax authority
8. Tax
GIA pays the Educator (or Beneficiary) gross — i.e. without deducting personal income tax. The recipient is solely responsible for tax compliance in their country. GIA may issue payment statements (e.g. annual summaries) to assist with declarations and may comply with future regulatory requirements (such as EU DAC7) by reporting payouts to tax authorities where required by law.
9. Termination
Either party may terminate this Agreement on 30 days' written notice, except that:
- GIA may terminate immediately for breach of warranty (Section 3), failure of quality standards (Section 4), undisclosed AI use (Section 5), or non-consenting depictions (Section 6).
- After termination, the licences granted to GIA in respect of already-produced Master Classes survive — see Section A.4 (Form A) or Section B.6 (Form B).
10. Confidentiality
Each party will keep confidential any non-public information shared by the other in connection with this Agreement (production plans, pricing, audience data, financial figures), except where disclosure is required by law.
11. Governing Law and Disputes
This Agreement is governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales, except that:
- The Educator (if a consumer) may bring proceedings in their country of residence under mandatory consumer law
- For amounts under £10,000, the parties may use online dispute-resolution services before litigation
12. Entire Agreement; Amendments
This Agreement (together with the Beneficiary Designation Form) is the entire agreement between the parties for the Master Class. Amendments must be in writing, signed (electronically is fine) by both parties.
FORM A — PROMOTIONAL BARTERED LICENCE
Use Form A when GIA records the Master Class at GIA's expense and the Educator receives platform exposure as compensation. No money flows to the Educator under Form A.
A.1 Production
GIA arranges the studio, equipment, camera operator, editor, and post-production at GIA's sole expense. The Educator provides their professional knowledge and a reasonable amount of time as agreed.
A.2 Educator Compensation under Form A
The Educator's compensation under Form A is non-monetary. It consists of:
- Public profile listing on GIA Platform (free of charge) — including verified contact channels (phone, WhatsApp, Telegram, Instagram, email) where the Educator opts in
- Promotional placement in the Master Class index and on the GIA homepage at GIA's reasonable discretion
- Open contact display — the Educator's verified contact channels are shown to all viewers of the Master Class so that interested viewers can reach the Educator directly for paid services
- Inclusion in marketing campaigns at GIA's discretion (no obligation to feature)
The parties acknowledge this is a fair exchange of value at the time of signing.
A.3 Ownership under Form A
The Master Class is the property of GIA, including:
- All copyright in the recording, edited material, subtitles, packaging
- All neighbouring rights in the performance recorded by GIA
- All derivative works produced by GIA (translations, condensed versions, marketing clips)
The Educator retains ownership of pre-existing Educator Materials. The Educator grants GIA a perpetual, irrevocable, worldwide, royalty-free licence to use those Educator Materials within the Master Class.
A.4 Survival of GIA Rights under Form A
If this Agreement terminates for any reason, GIA's rights in the Master Class continue indefinitely. The Educator agrees not to demand removal of an already-produced Form A Master Class. GIA may, at its discretion, withdraw or refresh the Master Class.
A.5 No Royalties under Form A
The Educator earns no royalty, no per-view fee, and no share of revenue from a Form A Master Class. The Educator's only consideration is the promotional benefit described in Section A.2.
A.6 Optional Upgrade to Form B
If a Form A Master Class becomes commercially attractive, the parties may at any time agree, in writing, to convert it to a Form B revenue-share arrangement on terms newly negotiated. Conversion is at GIA's discretion.
FORM B — REVENUE-SHARE PRODUCTION LICENCE
Use Form B when the Educator commissions GIA to produce a Master Class for sale on the GIA Platform. The Educator pays a production fee and earns 90% of Net Revenue.
B.1 Production Fee
The Educator commissions GIA to produce the Master Class. The production fee is agreed individually in a signed Production Order before recording. The production fee covers studio time, camera operator, editing, sound, subtitles in one language, and packaging. Additional services (extra languages, animation, advanced graphics) are quoted separately.
The production fee is non-refundable once filming begins.
B.2 Revenue Share
GIA distributes the Master Class on learn.getgia.app and any successor platforms. Net Revenue is split as follows:

B.3 Payment Cadence
GIA pays accrued Educator earnings:
- Once accrued earnings exceed €50 (or equivalent), monthly, by the 15th of the following month
- By bank transfer to the account nominated by the Educator
- In the currency of GIA's choice (typically EUR or GBP); FX is at the prevailing market rate
GIA reserves the right to delay payment by up to 30 days in respect of pending refunds, chargebacks, or fraud-investigation holds.
B.4 Pricing of the Master Class
GIA sets the end-user price of the Master Class on the platform after consultation with the Educator. GIA may vary the price for promotional reasons (sales, discount campaigns) — the Educator's 90% share applies to the actual amount received.
B.5 Ownership under Form B
Notwithstanding the production fee paid by the Educator, the Master Class is the property of GIA, on the same terms as Section A.3. The Educator's compensation for permitting GIA to own the Master Class is the 90% revenue share under Section B.2.
The Educator retains ownership of pre-existing Educator Materials and grants GIA the same perpetual, irrevocable, worldwide, royalty-free licence as under Section A.3.
B.6 Survival of GIA Rights under Form B
If this Agreement terminates for any reason, GIA continues to:
- Own the Master Class
- Distribute it on the GIA Platform
- Pay the Educator (or Beneficiary) the 90% revenue share
Termination by the Educator does not require GIA to withdraw the Master Class.
B.7 Non-Exclusivity (Educator's Other Work)
The Master Class produced under this Agreement is not exclusive. The Educator is free to:
- Teach the same subject in person, in workshops, in conventions, or live online
- Produce a different recording on the same subject for any other platform (Udemy, Skillshare, Domestika, YouTube, etc.)
- Publish books, articles, posts, or social-media content on the same subject
The Educator may not, however, redistribute the GIA-produced Master Class on competing platforms — that specific recording belongs to GIA.
B.8 Educator Withdrawal
The Educator may not withdraw a Form B Master Class once published, except:
- For breach of this Agreement by GIA (e.g. failure to pay accrued royalties for 90+ days after demand)
- By mutual written agreement
If the Educator wishes to commission a replacement Master Class on a similar topic, the parties may agree to a new Production Order under Form B.
B.9 Refunds and Chargebacks
End-user refunds and chargebacks reduce Net Revenue. The Educator's 90% share accrues only on Net Revenue after refunds and chargebacks are settled.
B.10 Audit
The Educator may request a written statement of sales for any Master Class once per quarter, free of charge. Additional audit rights (e.g. third-party accountant inspection) require 30 days' notice and are at the Educator's expense unless the audit reveals an underpayment of more than 5%.
BENEFICIARY DESIGNATION FORM
Required for both Form A and Form B. May be updated at any time by signing a new form.

- The Master Class itself remains the property of GIA and cannot be withdrawn by my Beneficiary
- My Beneficiary inherits only the right to receive payments that would otherwise have been due to me
- If GIA receives no contact from my Beneficiary or their representative for 12 consecutive months following my death, the right to receive future earnings lapses
- My Beneficiary is responsible for any tax obligations in their country

Notification Mechanism
In the event of my death or permanent incapacity, my Beneficiary or their representative should contact GIA at privacy@globalinkalliance.com with:
- A copy of the death certificate or relevant medical certification
- Proof of identity
- Bank details for receiving future payments
